Terms of Service

1. Who we are

Memoryist (“Memoryist,” “we,” “us,” “our”) is a study tool available at memoryist.com. These Terms of Service (“Terms”) govern your access to and use of Memoryist.

Memoryist is operated by MD. Nayeemur Rahman Biswas, an individual (sole proprietor) based in Dhaka, Bangladesh, reachable at [email protected]. Payments are processed by our merchant of record, Paddle, which acts as the seller of record for all purchases made through Memoryist.

By creating an account or using Memoryist, you agree to these Terms. If you don’t agree, don’t use the service.

2. What Memoryist does

Memoryist lets you upload study materials (books and PDFs you own or have rights to use). We parse the files, generate section-by-section quizzes and spaced-repetition review schedules, offer text-to-speech read-aloud of your content, and can send optional email digests and browser push reminders. We also show you stats about your learning progress.

Some processing (quiz and schedule generation, OCR on scanned PDFs, and text-to-speech audio) is performed using third-party AI services. See the Privacy Policy for which providers are involved and why.

3. Accounts

• You need an account to use Memoryist. You can sign up with email/password or with Google sign-in.
• You’re responsible for keeping your login credentials secure and for all activity under your account.
• You must provide accurate information and keep it up to date.
• One account per person; don’t share credentials or let others use your account.

4. Acceptable use

You agree not to:

• Upload content you don’t own or don’t have the legal right to use (see Section 5).
• Use Memoryist to infringe copyright, violate any law, or violate anyone’s rights.
• Attempt to reverse-engineer, scrape, overload, or interfere with the service or its infrastructure.
• Use the service to generate or distribute malware, spam, or abusive content.
• Circumvent usage limits (free-tier caps, per-book page limits, and the like) through automation, multiple accounts, or other workarounds.

We may suspend or terminate accounts that violate this section.

5. Your content

• Ownership. You keep ownership of the books, PDFs, and other materials you upload (“Your Content”). We don’t claim ownership of it.
• License to us. By uploading Your Content, you grant us a limited license to store, parse, and process it (including sending excerpts to the third-party AI providers listed in the Privacy Policy) solely to provide the service to you — generating quizzes, review schedules, audio, and stats.
• Your responsibility. You confirm that you own, or have the legal right to upload and process, everything you upload. You’re solely responsible for complying with copyright law and any licensing terms attached to your materials. We do not review uploads for copyright compliance and are not liable for infringing content you upload.
• Privacy of Your Content. Your uploaded books and generated materials are private to your account and are not shared with, or visible to, other users.
• Deletion. If you delete your account, Your Content is deleted, including the uploaded files themselves.

6. Our intellectual property

Memoryist’s software, design, and branding belong to us or our licensors. These Terms don’t grant you any rights to our IP beyond using the service as intended.

7. Subscription & billing

• Memoryist offers a Free tier (permanent, with limited monthly uploads, per-book page limits, and no OCR for scanned PDFs) and a Pro tier ($19/month, or $108/year — the equivalent of $9/month billed yearly).
• Paddle.com is the merchant of record for all paid subscriptions. Paddle handles checkout, invoicing, payment collection, sales tax/VAT, and refunds. Your purchase contract for payment is with Paddle, acting as our authorized reseller.
• We may change prices for future billing periods. If we do, we’ll notify you in advance (for example, by email) before the change takes effect on your next renewal.
• You can cancel your subscription at any time; see the Refund Policy for how refunds work.

8. Free beta

Memoryist is currently in free public beta. During beta, all accounts get boosted limits — beyond the standard Free tier, but below Pro’s full ceilings — at no charge and no card is required. Beta limits, features, and pricing are subject to change once we reach general availability. We’ll give notice before reducing beta-era limits or introducing charges for previously free features.

9. Termination

• You can stop using Memoryist and delete your account at any time from Account settings, or by emailing [email protected].
• We may suspend or terminate your account for violating these Terms, for extended inactivity, or if required by law.
• Sections that by their nature should survive termination (for example, IP ownership and limitation of liability) continue to apply.

10. Disclaimers & limitation of liability

Memoryist is provided “as is” and “as available.” We don’t guarantee that quizzes, schedules, OCR results, or AI-generated content will be accurate, complete, or error-free — AI-generated study material can contain mistakes, and you should verify important information independently.

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the service.

Nothing in these Terms excludes or limits any rights or remedies you have under mandatory consumer-protection laws that cannot legally be waived. Where such laws apply, the limitations in this section take effect only to the maximum extent those laws permit.

11. Governing law & disputes

These Terms are governed by the laws of Bangladesh, and the courts of Dhaka, Bangladesh have exclusive jurisdiction over any dispute arising from these Terms or your use of Memoryist. This does not deprive you of the protection of, or the right to bring proceedings under, the mandatory consumer-protection laws of your country of residence.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we’ll notify you (for example, by email or an in-app notice) before they take effect. Continuing to use Memoryist after changes take effect means you accept the updated Terms.
